Hi all,

Until Doug give us a firm dollar amount for the difference between our priority title list and their total title list, I feel like I am shooting in the dark regarding how much we need to add back in. Can we ask Doug to provide that? Considering we are merging three lists and dropping two collections, I would rather get that number from Doug than reverse calculate it out of their spreadsheet.

We asked Elsevier for clarification on the 2’s and 3’s and being able to spend that money in another way and have a better understanding now.

I just want to reiterate that I would like to see one invoice with all the titles that will be under contract on one list. The titles that are now on the extra tabs are not treated consistently and make the process of determining how much money is associated with the 2’s and 3’s difficult to determine.

Can you request this new list so we can work with it and start to think about which titles we will swap out/add in.

My $.2 cents:

 

·         Looks like we added titles to FY17 so the start point in terms of total cost was different form when we started the last contract year so the 3% calculation seems correct

·         Elsevier anticipates that we would take any duplicative journals and replace with new since only one subscription is required for all campuses to access.  We can/should organize an initial transition to capture as many as we can but this does not need to be accomplished prior to contract execution.  Directly related is the response with regard to maintaining equal value when substituting titles.  They commit to flexibility with that.  So we can effectively broaden subscription base for same cost, however, we cannot reduce total cost

·         I think the response regarding APC’s is interesting and would support pulling a symposia together; sooner rather than later but will defer to your expertise on this one; (they are sending the summary of a couple of recent events help at Harvard and other schools)

·         They are researching early payment discount

Thank you again for setting aside the time this morning for our call. Per our discussion, I’m responding with the points of clarification you requested:

 

·         I reviewed our offer to ensure the accuracy of the 3% increase figures provided for 2018, and they do appear to be correct. An overview of the calculations are below, and I have attached the respective invoices*:

                *Please note that the Amherst Group’s 2017 primary invoice (attached) was split three ways per the customer’s request, via proforma invoices. For simplicity’s sake, I have not attached these proformas, but I did double check that they add up correctly to the total. Please note also that the Amherst Group’s 2017 total above takes into account a small partial credit issued on credit note M318529, also attached.

 

·         Because we have three historically separate journal lists being merged into one, there are several titles with quantities of more than one. In those cases, UMass may use the value of the additional quantities toward additional electronic  journal subscriptions. Per our discussion, this is normally limited to only those journals with the Invoicing Group designation “ES Journal Collection” (which comprises the vast majority of Elsevier-published journals). However, due to the special circumstance related to the merge, we will work with UMass to the best of our ability to ensure its title list can be optimized across all journal categories in the current agreement, and that any such redundancy can be minimized or eliminated altogether, so long as the total value of the agreement is kept intact.

 

·         While Elsevier’s position on not negotiating APC’s as part of a ScienceDirect renewal is firm, a proven means by which Elsevier has helped deliver more value to our academic customers has been through various workshop and symposium-type events, executed in coordination with the university library, academic departments, student bodies and administration. These events can address myriad topics from best publishing practices for early-career researchers to trends in scholarly publishing and often include speakers and panelists from Elsevier’s editorial and publishing arms, as well as stakeholders from the university library and academic community. In attachment, I have provided some examples of recent events done in collaboration with other US institutions, and look forward to discussing the possibility of producing such an event in collaboration with UMass.

 

·         With regard to your query about an early-payment incentive, I have raised this with our US credit manager, and it will now need to be reviewed by our central credit office in Amsterdam. I will advise further once a determination has been made or additional info is requested.

 

I hope the info provided above adequately clarifies these points. To ensure a timely renewal, we would like to begin processing UMass’s renewal in the coming few days and deliver your agreement document for review and signature. Please let me know if there’s anything further I can do to meet that aim, or if we can proceed with the merged title list.

 

As noted earlier, any changes to the title list (swaps, etc) can be done via amendment after the invoice is generated.

The list of “SD License Asks” you provided to us has been thoroughly reviewed, and I’m happy to report that, with some exceptions, most of your points have been accepted and approved. I have provided a detailed list of responses below.

 

Please take some time to review each, and let me know if there are any questions. I’m happy to schedule some time for a conference call in the coming days to review the offer and discuss next steps. Our aim is to have your 2018 agreement delivered to you by December 1.

 

1.       Five year annual price cap at 3%

-          Elsevier can offer a 3% uplift for 2018, followed by a gradual bridge in the outlying four years up to 4.5% follows:

-          3%, 3.5%, 4%, 4%, 4.5%

-          This pricing structure delivers an approximate $263k total savings over the originally proposed 5-year / 4% offer

2.       Acceptance of one system-wide e-journal title list

-          Accepted, assuming the value of the single merged agreement reflects the combined value of UMass’s current three-segment ScienceDirect agreement, plus any negotiated uplifts.

-          Journal titles may be swapped for others of equal or greater value

-          Swaps do not have to be completed prior to 2018 invoice, and can be done at any time via a simple e-amendment

 

3.       All campuses will have access to the Freedom Collection & the Cell Press Collection

-          Accepted for the Freedom Collection

-          Accepted for the 14 Cell Press titles in the current UMass agreement (UMass Medical), assuming the total agreement value is kept intact. This includes the values for any currently-subscribed Clinics, Seminars, Cell Press, Society, Book Series or other third-party journals. Titles may be swapped for other equal-or-greater value titles, or billed separately if requested.

 

4.       The total value of the a) system-wide e-journal title list plus b) the Freedom & Cell Press Collections will be priced at our current spend for those line items, and we will reduce the title list if necessary to make that happen

-          Accepted, assuming maintenance of the agreement’s total value, as noted above.

 

5.       Consistency in licensing: License to include one payment schedule that will cover all campuses.

a.       Print subscriptions

                                                               i.      Drop remaining print subscriptions

-          Accepted, with the exception of any current P&E (print and electronic) subscriptions, which would need to be converted to E-Only, if the print is cancelled. (UMass currently has only two P&E title subscriptions)

b.       One system-wide e-journal title list (697 ejournal titles)

-          Single e-journal title list is accepted; however, the final number of titles will reflect the merge of the current three-segment ScienceDirect agreement

c.       10% discount/e-subscription fee

-          Accepted

d.       7% content fee

-          Accepted

e.       Third party journals – only those included in our system-wide e-journal title list

-          Third-party journals, currently subscribed within the UMass system agreement or separately per campus (Cell Press, Clinics, etc),  would need to be kept intact, or replaced with equal-or-greater value titles

f.        Complete Freedom Collection

-          Accepted. Freedom Collection will be subscribed and accessible to all UMass system campuses, based on the UMass’s current total Freedom Fee and any negotiated uplifts, assuming the total agreement value is kept intact.

g.       Cell Press Collection

-          Accepted for the 14 Cell Press titles in the current UMass agreement (UMass Medical), assuming the total agreement value is kept intact. This includes the values for any currently-subscribed Clinics, Seminars, Cell Press, society, Book Series or other third-party journals. Titles may be swapped for other equal-or-greater value titles, or billed separately if requested.

h.       Remove Clinics Collection

-          Clinics must be kept intact, or replaced with equal-or-greater value titles. Separate billing is available.

i.         Remove Seminars Collection

-          Seminars must be kept intact, or replaced with equal-or-greater value titles. Separate billing is available.

j.         Book Series for Amherst and Lowell are not included in license, so remove Book Series for the Medical School and bill separately

-          Accepted (Note: Amherst Book Series currently appear on the provided merged title list, but can be removed for separate billing, as requested)

k.       Wave/Reduce/Deduct APC’s (article processing charges) for Elsevier Open Access journals published in by University of Massachusetts system authors

-          Not accepted. Per Elsevier’s global policy, Article Processing Charges (APC’s) are not negotiated in relation to ScienceDirect institutional subscription agreements.

 

Regarding Bepress / Digital Commons: Any terms related to these services are separate from ScienceDirect and will need to be negotiated separately, according to the business models for those products.

·         UMass Merged Title List

-          This list is the merged title list combining the UMass system’s historic three ScienceDirect title lists.

-          Multiple quantities may appear if more than one campus has historically subscribed. In such cases, any difference in price is addressed by using the average, in order to maintain the total subscription value.

-          If a journal title is listed twice, it is likely due to one campus’s prior subscription as part of a journal “set”, and another campus subscribing as an individual title. (Note: Previous “set” titles should appear on the list with a blank or $0.00 price)

 

·         Add’l Journal Subs

-          This list provides an overview of any additional journals invoiced separately for specific UMass campuses

-          These journals would also need to be maintained to secure the terms offered above

-          The titles can be kept separate as they have been, or merged into the main UMass system agreement (price adjustment may apply)

 

·         Add’l Series and MRW Subs

-          This list provides an overview of any additional Book Series or recurring MRW subscriptions invoiced separately for specific UMass campuses

-          The titles can be kept separate as they have been, or merged into the main UMass system agreement (price adjustment may apply)
